Ekaterinburg — September 29, 2005 — Uralsvyazinform (RрS: URSI/URSIP) — the leading carrier of fixed-line and mobile services in the Urals region, Russia reports on the BoD meeting on Bond Issue Prospectus.
September 29, 2005 — The Board of Directors of Uralsvyazinform approved the decision to place two bond issues with overall volume of RUR 5 bln and also validated the Decisions of Issue and Prospectus. The following parameters of issues were specified:
1. Non-convertible interest-bearing documentary bearer bonds of нюн Uralsvyazinform of 06 series, which are subject to obligatory centralized custody of 2 000 000 bonds at nominal value RUR 1000. The overall volume of issue is RUR 2 bln, with placement to be made through open subscription.
The price of bond placement equals nominal bond value; from the second day of placement the buyer also pays accumulated coupon income on bonds (ACI) during purchase and sale.
2. Non-convertible interest-bearing documentary bearer bonds of нюн Uralsvyazinform of 07 series, which are subject to obligatory centralized custody of 3 000 000 bonds at nominal value RUR 1000. The overall volume of issue is RUR 3 bln, with placement to be made through open subscription.
The price of bond placement equals nominal bond value; from the second day of placement the buyer also pays accumulated coupon income on bonds (ACI) during purchase and sale.
The interest rate of the first coupon will be bidden on the day of bond placement. The payments of the corresponding part of nominal value (partial discharge) and coupon income payments (interest) will be made once in six months. According to the terms of Decision of Issue, there are 5 coupon payments with duration of 182 days each.
‘AKB LSvyazbank’ acts as the Organizer for bond placement, ZAO ‘LInvestment company AVK’ acts as the Financial Consultant.
The money gained from the placement will be spent on investment and debt restructuring.
