'To approve a related party transaction, namely: Agreement on introduction of alterations to the Agreement # № Д-01/03 dated August 1, 2003 concerning Company’s share dividend distribution, concluded between OJSC Uralsvyazinform and OJSC ‘Objedinyonnaya registratsionnaya kompaniya’ (ORK) subject to the following essential conditions:
Subject matter of the transaction: restatement of Agreement # Д-01/03 dated August 1, 2003 as follows:
Subject of the Agreement:
The Registrar renders services to the Issuer pertaining to procedures of dividend payments to the persons included to the list of persons entitled to obtain dividend on the Issuer’s shares.
Agreement price and procedure of settlements:
The services rendered by the Registrar in accordance with items 2.1, 2.2, 2.3, 2.4, 2.5, 2.6 of the named Agreement shall be charged at RUR 100 per registered person (VAT excluded) included into the list of persons entitled to obtain dividend on the Issuer’s shares, as stated in Annex 2 to the present Agreement, on the basis of an invoice issued by the Registrar, within ten calendar days since submission of such an invoice to the Issuer.
Term of the Agreement: the Agreement is concluded for an indefinite term.
Since the date the present Agreement enters into force, the Additional Agreement #1 dd. December 22, 2003, the Additional Agreement #2 dd. August 6, 2004, the Additional Agreement #3 dd. April 27, 2006, the Additional Agreement #4 dd. October 2, 2006 to the Agreement # Д-01/03 dated August 1, 2003, lose their effect.The Agreement enters into force on February 1, 2008.'
